These Terms and Conditions ("Terms") govern your use of the Notari device, mobile application, and related services (collectively, the "Service") provided by Notari Labs LLC ("Notari," "we," "us," or "our"), a limited liability company incorporated in the United States.
By purchasing a Notari device, downloading the Notari app, or using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent that you are of legal age and have the authority to enter into a binding agreement. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
2. The Service
Notari provides a hardware voice recorder, a companion mobile application, and a cloud-based platform for transcription, summarization, and audio management. Features include but are not limited to:
- Audio recording and local storage on the Notari device
- Bluetooth-based sync to the Notari mobile app
- Transcription and AI-generated summaries processed via third-party large language models (LLMs) including OpenAI (ChatGPT), Google (Gemini), and Anthropic (Claude), based on your selection
- Output formats including full transcripts, detailed notes, action items, key points, email drafts, project briefs, and "TL;DR" short synopses
- Integration with third-party productivity tools including Notion, Slack, and Google Calendar
Feature availability may change over time. We reserve the right to modify, suspend, or discontinue any feature of the Service, with 90 days notice.
3. Accounts
To access the full Service, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@notarilabs.com if you suspect unauthorized access.
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Plans, Pricing, and Payment
The Notari device is sold at the listed retail price at the time of purchase. Every device purchase includes 300 minutes of audio processing per month at no additional cost, with full access to all app features.
Additional usage beyond your monthly allotment requires a paid subscription plan. All plans include access to every feature — the only variable between plans is the number of minutes of audio processing included per month. Subscription fees are billed in advance on a monthly or annual basis depending on the plan selected. All fees are stated in US dollars and are non-refundable except as required by applicable law.
We reserve the right to change pricing with at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the updated pricing.
5. Acceptable Use
You agree not to use the Service to:
- Break any recording consent laws in any jurisdiction
- Store or transmit content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable
- Attempt to reverse engineer, decompile, or extract source code from any part of the Service
- Circumvent security measures, usage limits, or access controls
- Use the Service in any way that could damage, disable, or impair our infrastructure or interfere with other users' access
You are solely responsible for ensuring your use of the Service complies with all applicable laws, including recording consent and wiretapping laws in your jurisdiction. Laws vary significantly by state and country — if you are unsure whether recording a conversation is lawful, consult legal counsel before doing so.
6. Third-Party LLM Processing
When you use Notari's transcription and summarization features, your audio data and transcripts are transmitted to and processed by the third-party AI provider you select — OpenAI, Google, or Anthropic. This processing is subject to the applicable terms and privacy policies of that provider.
By selecting a third-party model, you acknowledge and consent to your data being processed by that provider. Notari is not responsible for the data handling practices of third-party LLM providers. We take care to work only with providers who maintain industry-standard data protection practices, but we encourage you to review each provider's policies for conversations you consider sensitive.
7. Third-Party Integrations
The Service may connect with third-party tools including Notion, Slack, and Google Calendar. Your use of those integrations is subject to each third party's own terms and privacy policies. Notari is not responsible for the availability, accuracy, or security of third-party services.
8. Intellectual Property
All software, design, trademarks, and content associated with the Service are the property of Notari Labs LLC or its licensors. Nothing in these Terms transfers any ownership rights in the Service to you.
Notari Device and Service customers retain full ownership of all audio recordings, transcripts, and outputs generated from your recordings. By using the Service, you grant Notari Labs LLC a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you. We do not claim any rights to your recordings or their contents beyond what is necessary to operate the Service.
9. Hardware Warranty
The Notari device comes with a one-year limited warranty against defects in materials and workmanship under normal use. This warranty does not cover damage caused by accident, misuse, unauthorized modification, liquid damage, or normal wear and tear.
To make a warranty claim, contact support@notarilabs.com with proof of purchase. Our sole obligation under this warranty is, at our discretion, to repair or replace the defective device.
10. Disclaimer of Warranties
Except for the limited hardware warranty described above, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that transcription and summarization outputs will be fully accurate or complete.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Notari Labs LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, loss of revenue, or loss of business — arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid to Notari Labs LLC in the twelve months preceding the claim, or (b) one hundred US dollars ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless Notari Labs LLC and its affiliates, officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.
13. Termination
You may stop using the Service and close your account at any time by contacting support@notarilabs.com. We reserve the right to suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice.
Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination — including ownership, disclaimers, limitations of liability, and dispute resolution — will continue to apply.
14. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any dispute arising from or relating to these Terms or the Service shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the United States. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction where necessary to protect intellectual property or confidential information.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and notify you via email or in-app notification for material changes. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
